According to Singapore's policy requirements, Singaporean companies must appoint at least one business secretary within the first 6 months of registration; And if the company only has one director, that director cannot also serve as the business secretary.
So what role does a secretary play in a company? What responsibilities do we need to fulfill again?
The role of a secretary:
1. Maintain relationships with shareholders or other regulatory agencies
2. Properly store and correctly use the company seal
3. Provide recommendations based on company regulations to implement good governance practices.
Other responsibilities/functions that may be specified in the secretary's employment contract
1. Submit and update the following content to ACRA:
a) Submit annual accounts and any other requirements
b) Any details and identity of the company or director
c) Change and modify the company's articles of association
d) Share transfer
2. Maintain and update files, such as:
a) The statutory register of the company
b) Meeting minutes
c) Annual report and company accounts
3. Organize board meetings and annual shareholder meetings:
a) Prepare notification and agenda
b) Take meeting minutes
c) Distribution report
