2025-04-14

According to the regulations of the Singapore Inland Revenue Department, Singapore private limited companies must declare corporate tax to the Singapore Inland Revenue Department every financial year.

Non listed companies need to do so within 7 months after the end of the fiscal year, while listed companies need to do so within 5 months after the end of the fiscal year. There are four aspects involved here:Annual financial statement,AGM,Annual return,TAX computation,Corporate Tax filing.

Financial Statement

Annual financial statement is to assist a company established in Singapore to sort out its annual accounts and prepare annual financial reports according to the requirements of government departments.

The report includes accounting, drafting of director's report, director's statement, income statement, balance sheet, cash flow statement, and classification notes.

General Meeting of Shareholders

The Annual General Meeting of shareholders (AGM) refers to the resolutions of the annual general meeting of shareholders which must be held by the secretary of the company within a certain period of time (Non listed companies need to do so within 7 months after the end of the fiscal year, while listed companies need to do so within 5 months after the end of the fiscal year).

The AGM shall be held every fiscal year thereafter.

TAX Computation

The annual tax report is to assist companies established in Singapore in organizing annual accounting records, annual tax estimates, and filling out tax forms in accordance with the requirements of the government tax department.

Tax Filing

In each financial year, a private limited company in Singapore is required to file a corporate tax return with the Inland Revenue Authority of Singapore (IRAS).

The payment of corporate tax is based on the pre tax profit of the company's financial year, rather than its turnover.

The corporate tax rate for private limited liability companies in Singapore is 17%. (For newly registered companies, the first 100000 profits of each year in the first three years are exempt from tax by 75%.)
